What is the intermediation contract?
The intermediation contract is the agreement that sets out the conditions under which you, as a Partner Merchant, sell your products through the Wasal platform.
Wasal acts as an intermediary between you and the buyers. Wasal is not the seller of your products: the transaction takes place directly between you and the customer.
Wasal's role
Wasal provides you with:
- An e-commerce platform (app and website) to showcase and sell your products
- A Seller Portal to manage your store, your orders, and your payments
- A delivery service through partner carriers
- A customer service (CRC) available 7 days a week from 9 a.m. to 8 p.m.
Your obligations as a seller
Maintain sufficient stock of the products you have listed so that you can fulfill customer orders.
Process orders within the timeframes set by the SLA (Service Level Agreement) available on the Seller Portal.
Comply with the platform's General and Special Terms and Conditions, in particular the return policy and the rules on authorized products.
Comply with all applicable laws and regulations in the course of your activity.
Payments and compensation
- Wasal pays you the proceeds of your sales after deducting commissions, payment fees, and packaging fees
- Payment is made within 10 days following receipt of the order by the buyer
- Compensation proposals are submitted through the Seller Portal within 8 business days
- You have 72 hours to confirm each proposal (after this deadline, it is deemed accepted)
Wasal cannot be held liable for payment delays resulting from bank processing.
Liability
- You are responsible for your products, their compliance, and the fulfillment of orders
- Wasal may apply financial penalties in the event of a delivery problem caused by your error, omission, or negligence
- Any dispute concerning a product sold must be resolved by you, at your own expense

Termination
Wasal may terminate the contract automatically (without compensation) in the following cases:
- Failure to meet your obligations after a formal notice that remains without effect for 15 business days
- Fraud, abusive language, counterfeiting, or infringement of third-party rights
- Receivership, liquidation, or death of the partner merchant
You may also terminate the contract without cause, with 30 calendar days' notice, provided that you fulfill any pending orders and process returns even after termination.
Confidentiality
All information relating to the contract and to the financial terms is strictly confidential, both during the term of the contract and after its expiry.
Jurisdiction
The contract is governed by Moroccan law. In the event of a dispute, the parties first attempt an amicable resolution (30 days); the matter may then be brought before the Commercial Court of Casablanca.
